T2-202, 3.2 punktu ir, siekdama gauti finansavimą tarptautiniam projektui „Infrastruktūros plėtra ir bendradarbiavimas sveikatinimo švietimo srityje“ įgyvendinti, Jurbarko rajono savivaldybės taryba n u s p r e n d ž i a :Pritarti partnerystės sutarties su Nemano miesto savivaldybės administracija ir Gižycko rajono mokyklų ir kitų edukacinių įstaigų valdymo įstaiga sudarymui (sutarties projektas pridedamas). FORMTEXT 2012-10-25PRITARTAJurbarko rajono savivaldybės tarybos2012 m. spalio 25 d. sprendimu Nr.(Projektas)PARTNERYSTĖS SUTARTISŠi sutartis sudaroma tarp:Jurbarko rajono savivaldybės administracijos, Dariaus ir Girėno g. 96, LT-74187, Jurbarkas, Lietuva, atstovaujamos administracijos direktoriaus Petro Vainausko (toliau – Paramos gavėjas),ir Nemano miesto savivaldybės administracijos, ul.Pobedy 32, 238710, Nemanas, Kalliningrado sritis, Rusija, atstovaujamos direktoriaus Sergey Voskovshcuk (toliau – Partneris 1),ir Gižycko rajono mokyklų ir kitų edukacinių įstaigų valdymo įstaiga, Smętka 7, 11-500, Gižyckas, Lenkija, atstovaujamos direktoriaus Kazimierz Ambroziak (toliau – Partneris 2),(toliau kartu vadinamos Šalimis, o kiekviena atskirai - Šalimi) dėl projekto „Infrastruktūros plėtra ir bendradarbiavimas sveikatinimo švietimo srityje“ remiamo pagal 2007–2013 m. Europos kaimynystės ir partnerystės priemonės (EKPP) Lietuvos, Lenkijos ir Rusijos bendradarbiavimo per sieną programą, kurį 2012 m. balandžio 19 d. patvirtino Programos Jungtinis priežiūros komitetas, Nr. LPR1/010/037 (toliau – Projektas), įgyvendinimo.Atsižvelgdamos į:2006 m. spalio 24 d. Tarybos reglamentą (EB) Nr. 1638/2006, išdėstantį bendrąsias nuostatas, kurios nustato Europos kaimynystės ir partnerystės priemonę;2007 m. rugpjūčio 9 d. Komisijos reglamentą (EB) Nr. 951/2007, nustatantį tarpvalstybinio bendradarbiavimo programų, finansuojamų pagal Europos Parlamento ir Tarybos reglamentą (EB) Nr. 1638/2006, išdėstantį bendrąsias nuostatas, kurios nustato Europos kaimynystės ir partnerystės priemonę, įgyvendinimo taisykles;Lenkijos ir Rusijos bendradarbiavimo per sieną 2007-2013 programą patvirtintą Europos Komisijos 2008 m. gruodžio 17 d. sprendimu Nr. K(2008) 8352 (atnaujinta 2011 m. kovo 7 d. po EK komentarų);2008 m. Praktinį EB išorės veiksmų sutarčių procedūrų vadovą (PRAG taisyklės);Pirmojo kvietimo teikti paraiškas Gaires pareiškėjams;Paraiškos formą su priedais;Paramos sutartį / Įnašo sutartį, kurią turi pasirašyti Paramos gavėjas ir Programos Bendroji valdymo institucija;Europos Komisijos ir Rusijos federacijos finansavimo sutartį, pasirašytą 2009 m. lapkričio 19 d.(toliau – teisiniai dokumentai)Šalys susitaria:1 skirsnisApibrėžimaiŠioje Partnerystės sutartyje vartojamos tokios sąvokos:Programa – 2007–2013 m. Europos kaimynystės ir partnerystės priemonės Lietuvos, Lenkijos ir Rusijos bendradarbiavimo per sieną programa.Jungtinis priežiūros komitetas (JPK) – pagrindinė Programos sprendimų priėmimo institucija.Bendroji valdymo institucija (BVI) – Lenkijos Respublikos Regioninės plėtros ministerija.Sutarčių institucija – BVI, kuri pasirašo Paramos sutartį su Projekto Paramos gavėju.Nacionalinė (-ės) valdžios institucija (-os) (NA) – Lietuvos Respublikos vidaus reikalų ministerija, Lenkijos Respublikos Regioninės plėtros ministerija ir Rusijos Federacijos užsienio reikalų ministerija, kartu su ES techninės paramos programų nacionaliniu koordinavimo biuru.Jungtinis techninis sekretoriatas (JTS) – administracinis padalinys įkurtas prie Europos projektų centro (Lenkijos Respublikos regioninės plėtros ministerijos įsteigta biudžetinė įstaiga) Varšuvoje.Paraiškos forma – dokumentas, pildomas pateikiant Projekto pasiūlymą dėl finansavimo pagal Programą kartu su visais priedais.Projektas – patvirtintoje paraiškos formoje apibrėžtas Projektas, įgyvendinamas pagal Programą ir nurodytas Partnerystės sutartyje. Partneriai – paraiškos formoje nurodyti juridiniai asmenys, kurie dalyvauja įgyvendinant Projektą.Paramos gavėjas – su Bendrąja valdymo institucija Paramos sutartį pasirašiusi įstaiga, kuri Partnerystės sutartyje minimai institucijai prisiima visą teisinę ir finansinę atsakomybę už Projekto įgyvendinimą. Jis gauna finansinę paramą iš BVI ir užtikrina šios paramos valdymą bei galimą paskirstymą, remdamasis su Partneriais sudarytais susitarimais; tik jis yra atsakingas Bendrajai valdymo institucijai ir jai tiesiogiai atsiskaito už veiklos ir finansinius rezultatus.Paramos sutartis – Paramos gavėjo ir Bendrosios valdymo institucijos sudaryta sutartis, kurioje numatytos specialiosios sąlygos ir įsipareigojimas įgyvendinti Projektą už gautą ES paramą.2 skirsnisPartnerystės sutarties dalykasVadovaujantis nustatytais teisiniais dokumentais, šios Partnerystės sutarties dalykas yra tarpvalstybinės partnerystės organizavimas siekiant pagal Programą įgyvendinti Projektą. Šia Partnerystės sutartimi Šalys nustato darbo tvarkos taisykles, susijusias su būsimais darbais, ir apibrėžia Šalių santykius tarpvalstybinės partnerystės, sudarytos siekiant įgyvendinti Projektą, metu.3 skirsnisSutarties galiojimo trukmėŠi Partnerystės sutartis įsigalioja nuo tos dienos, kai ją pasirašo visos Šalys, ir galioja tol, kol Paramos gavėjas, kaip nustatyta Paramos sutartyje, neperduoda visų savo įgaliojimų BVI, tačiau ne trumpiau kaip 7 metus po galutinės paramos sumos už Projektą išmokėjimo dienos. Nuostatos dėl kitų duomenų saugojimo laiko (kaip nustatyta nacionaliniuose įstatymuose) neturi būti pažeidžiamos.4 skirsnisProjekto finansavimasEuropos kaimynystės ir partnerystės priemonėsBendra EKPP projekto tinkamų išlaidų suma yra 2.971.432,83 eurai.BVI finansuojama suma ne didesnė kaip 2.674.289,55 eurai, lygi 90 proc apskaičiuotų bendrų EKPP projekto tinkamų išlaidų sumos;Paramos gavėjas įgyvendinant projektą įsipareigoja prisidėti finansuojant 101.853,13 eurų sumą.Partneris 1 įgyvendinant projektą įsipareigoja prisidėti finansuojant 186.480,99 eurų sumą.Partneris 2 įgyvendinant projektą įsipareigoja prisidėti finansuojant 8.809,16 eurų sumą.Jei bendras projekto biudžetas būtų sumažintas, Europos Sąjungos finansuojama suma būtų proporcingai sumažinta, kadangi Europos Sąjungos kofinansavimo koeficientas negali keistis po projekto patvirtinimo.5 skirsnisAtsakomybėKiekvienas Partneris, įskaitant Paramos gavėją, yra atsakingas prieš kitus Partnerius, ir atleidžia juos nuo bet kokios atsakomybės bei kompensuoja atsiradusius nuostolius ir išlaidas dėl jo pareigų ir įsipareigojimų, nustatytų šioje Sutartyje ir jos prieduose, nevykdymo. Nė viena Šalis nelaikoma atsakinga dėl įsipareigojimų, kylančių iš šio Susitarimo, nevykdymo esant nenugalimos jėgos (force majeure) aplinkybėms. Su minėtomis aplinkybėmis susidūręs Partneris nedelsdamas turi apie jas raštu pranešti kitiems Partneriams.6 skirsnisTeisės ir įsipareigojimaiKiekvienas Partneris turi teisę iš Paramos gavėjo gauti informaciją apie vadovavimą Projektui ir finansinius srautus – iš BVI gaunamas bei jai pervedamas sumas.Paramos gavėjas turi teisę iš Partnerių gauti informaciją ir dokumentus, susijusius su Projekto veiklomis ir išlaidomis.Paramos gavėjas yra atskaitingas BVI už Projekto įgyvendinimą. Paramos gavėjas, gavęs Partnerių sutikimą, pasirašo Paramos sutartį su BVI ir valdo lėšas vadovaudamasis šios Partnerystės sutarties, Paramos sutarties ir teisinių dokumentų nuostatomis. Paramos gavėjas prisiima išimtinę atsakomybę už visą Projektą.Visų pirma Paramos gavėjas turi vykdyti šiuos įsipareigojimus:užtikrinti, kad Projektas būtų pradėtas ir įgyvendintas pagal grafiką ir vykdyti visus įsipareigojimus Sutarčių institucijai;užtikrinti sklandų ir operatyvų Programos paramos lėšų pervedimą visiems Partneriams bei laiku atlikti finansines operacijas, susijusias su Projekte nurodytais Partneriais arba tiekėjais; audito tikslais visas bylas, dokumentus ir duomenis, susijusius su Projekto dalimi, už kurią jis yra atsakingas, saugiai ir tvarkingai laikyti įprastinėje duomenų saugojimo vietoje mažiausiai septynerius metus po galutinės paramos sumos iš BVI gavimo; nuostatos dėl galimai ilgesnio dokumentų saugojimo laiko – tai gali būti nustatyta nacionaliniuose įstatymuose – neturi būti pažeidžiamos;parengti bei pateikti Projekto pažangos ataskaitas, tarpines ir galutines ataskaitas (susidedančias iš veiklos ataskaitos ir auditorių patikrintos finansinės ataskaitos), planuojamo biudžeto dokumentus, teikti mokėjimo prašymus bei prašymus dėl biudžeto arba Sutarties sąlygų pakeitimo su visų Partnerių pagalba;paskirti projekto vadovą, atsakingą už viso Projekto įgyvendinimą, bei finansų vadovą, atsakingą už viso Projekto finansus;išplatinti Paramos sutarties, patvirtintos Paraiškos formos ir kitų oficialių dokumentų kopijas visiems Partneriams;išsiųsti visiems Partneriams ataskaitų, t. y. Projekto pažangos ataskaitų, veiklos ir finansinių ataskaitų, kurios pateiktos BVI, kopijas;pradėti vykdyti Projektą ir jį įgyvendinti pagal Paraiškos formoje (Projekto aprašyme ir biudžete) nustatytus reikalavimus; Paramos gavėjas BVI privalo pranešti apie bet kokius veiksnius, kurie gali paveikti Projekto įgyvendinimą;laiku atlikti tolesnį atitinkamų mokėjimo dalių, gautų iš BVI, pervedimą Partneriams;valdyti ir stebėti suteiktos paramos panaudojimo tinkamumą;atlikti visą su Projektu susijusią apskaitą pagal Paramos sutarties bendrųjų sąlygų 16.1 punktą, ypatingą dėmesį skiriant viešųjų pirkimų procedūrų, vykdomų siekiant įgyvendinti Projektą, tikslumui;nuolat tartis su Partneriais ir išsamiai juos informuoti apie Projekto eigą;bendrauti su Programą įgyvendinančiomis institucijomis ir, gavus reikšmingos informacijos, pranešti ją kitiems Partneriams;operatyviai reaguoti į bet kokį Programą įgyvendinančių institucijų ir Projekto Partnerių prašymą.Kiekvienas Projekto Partneris (įskaitant Paramos gavėją) prisiima šias pareigas ir įsipareigojimus:paskirti vietos koordinatorių (-ius) toms Projekto dalims, už kurias jis atsakingas;suteikti Paramos gavėjui leidimą pasirašyti sutartį su BVI ir įgyvendinant Projektą atstovauti Partneriams visuose sandoriuose su BVI;laiku vykdyti veiklą, už kurią jis yra atsakingas pagal Paraiškos formoje/ Projekto aprašyme nustatytus reikalavimus;prisidėti prie Projekto įgyvendinimo veiklų neviršijant patvirtinto biudžeto;įgyvendinant patvirtintą Projektą laikytis ekonomiškumo, veiksmingumo, efektyvumo ir gero finansų valdymo principų;rengti ir teikti ataskaitas, susijusias su ta Projekto dalimi, už kurią jis atsakingas, pagal teisiniuose dokumentuose nustatytus reikalavimus;padėti Paramos gavėjui rengti Projekto pažangos ataskaitas, tarpines ir galutinę atskaitas – pateikti jam visą informaciją, kuri yra reikalinga teikiant mokėjimo prašymus Sutarčių institucijai;laiku pateikti dokumentus, informaciją ir duomenis, kurie reikalingi Paramos gavėjui norint koordinuoti ir stebėti Projekto įgyvendinimą bei pateikti ataskaitas;laikytis visų Paramos sutartyje ir Partnerio pareiškime, kurį pasirašė kiekvienas Partneris paraiškos pateikimo metu, numatytų taisyklių ir įsipareigojimų;pranešti Paramos gavėjui apie bet kokį įvykį, kuris galėtų paveikti Projekto įgyvendinimą;pateikti visus dokumentus, kurie būtini auditui atlikti, teikti reikalingą informaciją ir audito tikslais leisti naudotis savo tarnybinėmis patalpomis;naudotis atskira apskaitos sistema Projekto lėšų ir išlaidų apskaitos tikslais;audito tikslais visas bylas, dokumentus ir duomenis, susijusius su jų Projekto dalimi, saugiai ir tvarkingai laikyti įprastinėje duomenų saugojimo vietoje viso Projekto įgyvendinimo laikotarpiu bei 7 metus po galutinės paramos sumos iš BVI gavimo; nuostatos dėl kitokio dokumentų saugojimo laiko – tai gali būti nustatyta nacionaliniuose įstatymuose – neturi būti pažeidžiamos;operatyviai reaguoti į bet kokį Paramos gavėjo ir Programą įgyvendinančių institucijų prašymą;laikytis nacionalinės teisės nuostatų ir PRAG taisyklių dėl apskaitos ir viešųjų pirkimų procedūrų;laikytis kitų ES ir nacionalinių teisės aktų nuostatų;pranešti apie bet kokias pajamas, kurios gaunamos arba gali būti gautos Projekto įgyvendinimo laikotarpiu;laikytis visų taisyklių ir įsipareigojimų, nustatytų teisiniuose dokumentuose;sutikti imtis visų reikalingų veiksmų, kad Paramos gavėjas galėtų įvykdyti savo įsipareigojimus, nustatytus Paramos sutartyje.7 skirsnisPartnerystės organizacinė struktūraSiekiant sėkmingai valdyti partnerystę, įsteigiama Projekto valdymo grupė. Projekto valdymo grupė yra atsakinga už Projekto įgyvendinimo priežiūrą ir strateginių sprendimų patvirtinimą. Projekto valdymo grupei pirmininkauja Paramos gavėjo atstovas. Jos narius sudaro Paramos gavėjo, Partnerių ir bet kokios kitos organizacijos ar asmens, kuriuos tinkamais pripažįsta Paramos gavėjas, 5 atstovai: 3 atstovai iš Jurbarko rajono savivaldybės administracijos bei 2 atstovai iš Nemano miesto savivaldybės administracijos. Projekto valdymo grupė susitinka 6 kartus per metus. Jei mano esant būtina, BVI, nacionalinės valdžios institucijos ir JTS taip pat gali dalyvauti šiuose susirinkimuose.8 skirsnisDarbo ir vertimo kalbosPartnerystės darbo kalba (-os) yra rusų kalba. Visi oficialūs Projekto dokumentai prireikus pateikiami anglų kalba. Korespondencijos su JTS ir ataskaitų kalba yra anglų kalba.9 skirsnisUžduočių tarp partnerių pasiskirstymasProjekto pareiškėjas, vadovaujantis projekto planu, yra atsakingas įgyvendinant šias veiklas: Veikla 1. Infrastruktūros rekonstrukcijos darbai.1.1.rekonstrukcijos darbai;1.2. įrangos ir inventoriaus įsigijimas.Jurbarko rajono savivaldybės sporto stadiono (16.625 m2) infrastruktūros rekonstrukcijos darbai.Vykdant darbus numatoma: rekonstruoti futbolo, regbio aikšteles, įrengti žiūrovų tribūną, rekonstruoti apšvietimą, įrengti aikšteles treniruotėms, rekonstruoti stadiono namelį, įsigyjant visą reikiamą įrangą ir baldus, įrengti tablo, rekonstruoti automobilių stovėjimo aikštelę, įsigyti visą veiklai būtiną inventorių (futbolo vartus, regbio vartus, žaidėjų suoliukus, įrenginį linijoms brėžti, garso aparatūrą ir kt.), sumontuoti apsaugos signalizaciją ir kt.Veikla 2. Suinteresuotų specialistų konferencijų organizavimas.Įgyvendinant veiklą, projekto pareiškėjas suorganizuos 3 konferencijas 60-čiai specialistų savo šalyje.Visos konferencijos truks po dvi dienas. Konferencijų organizavimo išlaidos: konferencijų salės nuoma; lektoriaus paslaugos; įrangos nuoma; sinchroninio vertimo įrangos nuoma; kavos pertraukėles; pietūs konferencijos dalyviams; kanceliarinės paslaugos; bukletai; vaizdinės metodinės medžiagos parengimas; apgyvendinimo paslaugos ir kt. Už konferencijų dalyvių sukvietimą bus atsakingas projekto pareiškėjas.Veikla 3. Sveikatingumo švietimo renginių vaikams ir jaunuoliams organizavimas.Projekto pareiškėjas surengs dvi vasaros stovyklas, kurių kiekviena truks 7 dienas. Šiose stovyklose dalyvaus 120 vaikų (40 vaikų iš Lietuvos, 40 iš Lenkijos ir 40 iš Rusijos). Projekto pareiškėjas bus atsakingas už savo šalyje vyksiančių stovyklų efektyvų organizavimą. Stovyklų organizavimas apims: apgyvendinimo, maitinimo (pusryčiai, pietūs, vakarienė), laisvalaikio–sporto bazės nuomos, renginių organizatoriaus paslaugas (žaidimai, išvykos po Lietuvą ir kt.), o taip pat vaizdinės ir metodinės medžiagos parengimo bei knygos (140 vnt.), apie fizinį aktyvumą ir sveiką gyvenseną, parengimo, leidybos išlaidas.Projekto pareiškėjas suorganizuos Lietuvoje keturias sporto šventes. Šiose sporto šventėse dalyvaus 120 vaikų (40 vaikų iš Lietuvos, 40 iš Lenkijos ir 40 iš Rusijos). Už efektyvų sporto švenčių organizavimą bus atsakingas projekto pareiškėjas. Sporto šventės organizavimo išlaidos apims: sporto bazės nuomą, apgyvendinimo ir maitinimo paslaugas, lankstinukų leidybą ir platinimą ir kt.Veikla 4. Informacinių leidinių ir straipsnių parengimas ir platinimas.Šios veiklos įgyvendinimo metu projekto pareiškėjas numato išleisti ir gyventojams (savivaldybių ar viešųjų įstaigų pagalba) išplatinti 1000 knygų apie fizinio aktyvumo reikšmę ir sveiką gyvenseną. Taip pat siekiant visapusiškos informacijos sklaidos, spaudoje bus išplatinti 5 tokio pobūdžio straipsniai. Partneris 1, vadovaujantis projekto planu, yra atsakingas įgyvendinant šias veiklas:Veikla 1. Infrastruktūros rekonstrukcijos darbai.1.1.rekonstrukcijos darbai;1.2. įrangos ir inventoriaus įsigijimas.Nemano rajono savivaldybės stovyklos infrastruktūros rekonstrukcijos darbai.Vykdant darbus numatoma: rekonstruoti baseino pastatą, katilinę, lengvosios atletikos ir medicinos punkto pastatus, kitus stovykloje išsidėsčius gyvenamuosius pastatus ir atskirus namelius, įsigyjant visą reikiamą įrangą ir baldus. Taip pat numatoma sutvarkyti stovyklos teritorijos infrstruktūrą: įrengti žaidimų zonas, sutvarkyti pėsčiųjų ir dviračių takus, saporto aikšteles ir kt.Veikla 2. Suinteresuotų specialistų konferencijų organizavimas.Įgyvendinant veiklą, Projekto partneris 1 suorganizuos 3 konferencijas 60-čiai specialistų savo šalyje.Visos konferencijos truks po dvi dienas. Konferencijų organizavimo išlaidos: konferencijų salės nuoma; lektoriaus paslaugos; įrangos nuoma; sinchroninio vertimo įrangos nuoma; kavos pertraukėles; pietūs konferencijos dalyviams; kanceliarinės paslaugos; bukletai; vaizdinės metodinės medžiagos parengimas; apgyvendinimo paslaugos ir kt. Už konferencijų dalyvių sukvietimą bus atsakingas projekto partneris 1.Veikla 3. Sveikatingumo švietimo renginių vaikams ir jaunuoliams organizavimas.Projekto partneris 1 surengs dvi vasaros stovyklas, kurių kiekviena truks 7 dienas. Šiose stovyklose dalyvaus 120 vaikų (40 vaikų iš Lietuvos, 40 iš Lenkijos ir 40 iš Rusijos). Projekto partneris 1 bus atsakingas už savo šalyje vyksiančių stovyklų efektyvų organizavimą. Stovyklų organizavimas apims: apgyvendinimo, maitinimo (pusryčiai, pietūs, vakarienė), laisvalaikio–sporto bazės nuomos, renginių organizatoriaus paslaugas (žaidimai, išvykos po Lietuvą ir kt.), o taip pat vaizdinės ir metodinės medžiagos parengimo bei knygos (140 vnt.), apie fizinį aktyvumą ir sveiką gyvenseną, parengimo, leidybos išlaidas.Projekto partneris 1 suorganizuos Nemano mieste keturias sporto šventes. Šiose sporto šventėse dalyvaus 120 vaikų (40 vaikų iš Lietuvos, 40 iš Lenkijos ir 40 iš Rusijos). Už efektyvų sporto švenčių organizavimą bus atsakingas projekto partneris 1. Sporto šventės organizavimo išlaidos apims: sporto bazės nuomą, apgyvendinimo ir maitinimo paslaugas, lankstinukų leidybą ir platinimą ir kt.Veikla 4. Informacinių leidinių ir straipsnių parengimas ir platinimas.Šios veiklos įgyvendinimo metu Projekto partneris numato išleisti ir gyventojams (savivaldybių ar viešųjų įstaigų pagalba) išplatinti 1000 knygų apie fizinio aktyvumo reikšmę ir sveiką gyvenseną. Taip pat siekiant visapusiškos informacijos sklaidos, spaudoje bus išplatinti 5 tokio pobūdžio straipsniai. Partneris 2, vadovaujantis Projekto planu, yra atsakingas įgyvendinant šias veiklas:Veikla 2. Suinteresuotų specialistų konferencijų organizavimas.Įgyvendinant veiklą, Projekto partneris 2 suorganizuos 1 konferenciją 60-čiai specialistų savo šalyje.Visos konferencijos truks po dvi dienas. Konferencijų organizavimo išlaidos: konferencijų salės nuoma; lektoriaus paslaugos; įrangos nuoma; sinchroninio vertimo įrangos nuoma; kavos pertraukėles; pietūs konferencijos dalyviams; kanceliarinės paslaugos; bukletai; vaizdinės metodinės medžiagos parengimas; apgyvendinimo paslaugos ir kt. Už konferencijų dalyvių sukvietimą bus atsakingas projekto partneris 2.Veikla 3. Taip pat siekiant visapusiškos informacijos sklaidos, spaudoje bus išplatinti 5 tokio pobūdžio straipsniai. 10 skirsnisBendradarbiavimas su trečiosiomis šalimis, funkcijų perdavimas ir viešieji pirkimaiBendradarbiaudami su trečiosiomis šalimis, įskaitant subrangovus, Partneriai už savo įsipareigojimų, nustatytų šioje Partnerystės sutartyje, vykdymą atsako Paramos gavėjui ir Programą įgyvendinančioms institucijoms. Partneriai praneša Paramos gavėjui apie bet kokį sutarties, sudarytos su trečiąja šalimi, dalyką bei pačias šalis ne vėliau kaip per 14 kalendorinių dienų nuo tokios sutarties sudarymo dienos.Nė vienas Partneris neturi teisės perduoti savo teisių ir įsipareigojimų, prisiimtų pagal šią Partnerystės sutartį, be išankstinio Paramos gavėjo ir atsakingų Programą įgyvendinančių institucijų sutikimo.Bendradarbiavimas su trečiosiomis šalimis, įskaitant subrangovus, vykdomas laikantis atitinkamų Bendrijos ir nacionalinių teisės aktų bei IV priedo (PRAG taisyklės), susijusio su viešųjų pirkimų procedūromis, nuostatų.11 skirsnisBiudžeto ir finansų valdymas, apskaitos principaiParamos gavėjas yra vienintelė šalis, atsakanti BVI už Projekto finansų valdymą. Konkretiems Partneriams tenkanti Projekto išlaidų dalis ir didžiausia iš Programos lėšų skiriama paramos suma yra nustatytos Projekto biudžete, apibrėžtame patvirtintoje Paraiškos formoje. Finansavimas (parama) mokami į Paramos gavėjo sąskaitą.Paramos gavėjas, gautas paramos lėšas per 10 darbo dienų nuo mokėjimo iš BVI gavimo turi paskirstyti Partneriams, remdamasis atitinkamomis sumomis patvirtintoje finansinėje ataskaitoje bei patvirtintomis tinkamomis finansuoti išlaidomis, patirtomis veiksmingai vykdant veiklas. Netaikomi jokie išskaitymai, atidėjimai arba specialūs mokesčiai.Paramos gavėjas yra atsakingas už prašymo perskirstyti lėšas tarp biudžeto kategorijų / biudžeto išlaidų eilučių pakeitimą bei Projekto pakeitimus, kaip nustatyta Paramos sutartyje. Šalys turi užtikrinti informacijos, pateiktos jų apskaitos sistemose ir dokumentuose, teisingumą. Visi Partneriai turėtų turėti atskiras banko sąskaitas arba subsąskaitas ir atskirą Projekto lėšų ir išlaidų apskaitos sistemą. Tuo tikslu Paramos gavėjas visų Partnerių gali prašyti papildomos informacijos, dokumentų ir duomenų. 12 skirsnisDarbų plano keitimas ir biudžeto lėšų perskirstymasPrieš pateikdamas BVI / JTS kokius nors prašymus dėl Projekto biudžeto arba kitų Projekto aprašyme ir biudžete ar Paramos sutartyje numatytų nuostatų keitimo, Paramos gavėjas turi gauti Partnerių sutikimą.13 skirsnisAtaskaitų teikimo ir stebėsenos įsipareigojimaiParamos gavėjas privalo BVI pateikti visą reikalaujamą teikti informaciją apie projekto įgyvendinimą. Partneriai įsipareigoja pateikti visą reikiamą informaciją per 10 kalendorinių dienų nuo pareikalavimo.Partneriai privalo savarankiškai parengti savo įgyvendintos Projekto dalies 4 mėnesių aprašomąsias, tarpines ir galutines ataskaitas.Parengtos ataskaitos ir atitinkami jų priedai, įskaitant dokumentus, patvirtinančius įvykdytas veiklas ir išlaidas (kai taikytina), teikiami Paramos gavėjui laikantis reikalavimų, Paramos sutartyje nustatytų Paramos gavėjui. Partnerių išlaidas privalo patvirtinti BVI patvirtinti auditoriai.Kiekvienas Partneris Paramos gavėjui turi pateikti informaciją, reikalingą konsoliduotoms ataskaitoms ir kitiems dokumentams, kurių reikalauja Programą įgyvendinančios institucijos, parengti.Kad būtų galima laiku rengti Projekto aprašomąsias ataskaitas, tarpines ir galutinę ataskaitas, nustatyti šie galutiniai terminai, iki kurių Partneriai Paramos gavėjui privalo pateikti ataskaitų dokumentus: 14 kalendorinių dienų iki aprašomųjų, tarpinių ataskaitų pateikimo Programą įgyvendinančioms institucijoms termino ir 30 kalendorinių dienų iki galutinių ataskaitų pateikimo Programą įgyvendinančioms institucijoms termino.Paramos gavėjas kiekvienam Projekto Partneriui nusiunčia visų konsoliduotų ataskaitų, pateiktų Programą įgyvendinančioms institucijoms, elektroninį variantą ir praneša jiems apie visą susijusią korespondenciją.Jeigu kuris nors Partneris (-iai) nepateikia ataskaitų arba nesilaiko taisyklių dėl išlaidų tinkamumo finansuoti, Paramos gavėjas prašo Partnerio (-ių) iš naujo parengti pateiktą ataskaitą per 14 kalendorinių dienų. Paramos gavėjas, siekdamas gauti atsakymą į savo prašymus, naudoja oficialius korespondencijos su kitais Partneriais būdus. Jeigu Partneris pakartotinai nesilaiko taisyklių, Paramos gavėjas turi teisę atmesti Partnerio deklaruotas išlaidas per 14 kalendorinių dienų. Tokiu atveju Paramos gavėjas minėtam Partneriui privalo pranešti apie deklaruotų išlaidų atmetimą ir atmetimo priežastis; be to, apie tai pranešama ir BVI / JTS.14 skirsnisBendrosios valdymo institucijos reikalavimas grąžinti paramąJei BVI pagal Paramos sutarties nuostatas pareikalauja grąžinti jau pervestą paramos sumą, kiekvienas Partneris privalo pervesti savo grąžintinos sumos dalį Paramos gavėjui. Paramos gavėjas nedelsdamas pateikia raštą, kuriame BVI patvirtina reikalavimą grąžinti paramą, ir kiekvienam Partneriui praneša apie mokėtinos sumos dydį. Grąžintina suma turi būti grąžinta per 14 kalendorinių dienų nuo tos dienos, kai apie tai praneša Paramos gavėjas. Grąžintinai sumai taikomos palūkanos, o Paramos sutarties nuostatos analogiškai taikomos visiems Partneriams.Kai lėšų išieškojimas yra susijęs su Paramos gavėjui ar jo Partneriui, kuris yra įsikūręs ES valstybėje narėje, pareikštu ieškiniu ir BVI negali išieškoti skolos per vienerius metus nuo išieškojimo pavedimo parengimo, sumą, grąžintiną Bendrajai valdymo institucijai, sumoka ES valstybė narė, kurioje Paramos gavėjas ar jo partneris yra įsikūręs, ir paskui išsireikalauja tą sumą iš Paramos gavėjo ar jo Partnerio.Kai lėšų išieškojimas yra susijęs su Paramos gavėjui ar jo Partneriui, kuris yra įsikūręs šalyje partnerėje, iškeltu ieškiniu, o BVI negali išieškoti skolos per vienerius metus nuo išieškojimo pavedimo parengimo, BVI praneša apie tai Europos Komisijai, kuri, remdamasi išsamia byla, apsiima išieškoti skolą iš šalyje partnerėje įsikūrusio Paramos gavėjo, Partnerio arba tiesiogiai iš tos šalies valdžios institucijų.15 skirsnisInformavimo ir viešinimo priemonėsBet kokiame su Projektu susijusiame pranešime ar leidinyje (įskaitant renginius) turi būti nurodyta, kad Projektas yra iš dalies finansuojamas pagal Programos teisinius dokumentus, o ypač pagal Komisijos reglamentą (EB) Nr. 951/2007, Gairių pareiškėjams 2.5.18 punktą ir 2008 m. balandžio mėn. EB išorės veiksmų komunikacijos ir viešinimo vadovą bei Paramos sutarties nuostatas. Partneriai duoda išankstinį sutikimą ir siunčia informaciją apie planuojamą viešinimo veiklą, renginius ir medžiagos paskelbimą Paramos gavėjui. Esant galimybei, Partneriai skelbia informaciją apie Projektą savo interneto svetainėse.Partneriai sutinka, kad BVI ir Europos Komisija gali bet kokia forma ir bet kokioje informacijos priemonėje skelbti šią informaciją: Paramos gavėjo ir partnerių pavadinimus, adresus, priklausymą valstybei, paramos paskirtį, Projekto aprašymą, pasiekimų aprašymą, renginius, produktus bei rezultatus, trukmę bei vietą, didžiausią galimą paramos sumą, tinkamų Projekto išlaidų finansavimo dalį.16 skirsnisTeisių ir pareigų perleidimas ir perėmimasNei Paramos gavėjui, nei kitiems Partneriams neleidžiama perleisti savo pareigų ir teisių, prisiimtų pagal šią Partnerystės sutartį, be išankstinio kitų šios Partnerystės sutarties Šalių sutikimo. Šios Partnerystės sutarties Šalims susipažinus su Paramos sutarties nuostatomis, Paramos gavėjas gali perleisti savo pareigas ir teises tik po išankstinio raštiško BVI ir JPK sutikimo.Teisių perėmimo atveju Paramos gavėjas arba atitinkamas Partneris privalo perduoti visas pagal šią Sutartį prisiimtas pareigas savo teisių perėmėjui. 17 skirsnisPajamų gavimas, įsigytos įrangos / investicijų nuosavybė Nuosavybė ir nuosavybės teisės, intelektinės ir pramoninės nuosavybės teisės į Projekto rezultatus, ataskaitas ir kitus susijusius dokumentus suteikiamos Paramos gavėjui arba Partneriui, kuris sukūrė arba nusipirko produktus, ataskaitas ar kitus dokumentus.Paramos gavėjas ir Partneriai suteikia BVI ir Europos Komisijai teisę laisvai ir taip, kaip jų nuožiūra pridera, naudotis visais dokumentais, parengtais Projekto įgyvendinimo laikotarpiu, arba jų formomis su sąlyga, kad nepažeidžiamos turimos pramoninės ar intelektinės nuosavybės teisės.Jei Paramos gavėjas neturi buveinės šalyje, kurioje įgyvendinamas Projektas, ir Paramos sutarties specialiosiose sąlygose nenurodoma kitaip, įranga, transporto priemonės ir prekės, už kurias sumokama iš Projekto biudžeto, turi būti perduodamos kuriems nors Paramos gavėjo vietos Partneriams ir (arba) galutiniams Projekto naudos gavėjams vėliausiai iki Projekto įgyvendinimo pabaigos. Dokumentų, įrodančių įrangos ir transporto priemonių, kurių pirkimo išlaidos viršijo 5 000 eurų už vienetą, perdavimą, kopijos turi būti saugomos kontrolės tikslais.Idant būtų galima kuo plačiau informuoti visuomenę apie Projekto rezultatus, Paramos gavėjas ir Partneriai užtikrina, kad Projekto produktai ir rezultatai būtų laisvai visuomenei prieinami. Apribojimai dėl Projekto produktų ir rezultatų prieinamumo galimi tik gavus Sutarčių institucijos sutikimą.Paramos gavėjas sutinka, kad parama jokiomis aplinkybėmis negali tapti jo pelnu ir ji apribojama suma, reikalinga Projekto pajamų ir išlaidų balansui išlaikyti. Pelnas apibrėžiamas Bendrųjų sąlygų 17.3 punkte. Auditoriui nustačius bet kokias Paramos gavėjo ar Partnerio (-ių) pajamas gautas iš projekto produktų ar rezultatų, Europos sąjugos parama turi būti sumažinta atitinkama suma.18 skirsnisĮsipareigojimai, terminų nesilaikymas, įsipareigojimų atsisakymasJei kuris nors iš Partnerių visiškai arba iš dalies nevykdo savo įsipareigojimų, Paramos gavėjas tokį Partnerį įspėja, nurodydamas daugiausia vieno mėnesio laikotarpį, per kurį įsipareigojimai turėtų būti pradėti vykdyti. Paramos gavėjas deda visas pastangas, kad susisiektų su Partneriais spręsdamas sunkumus, taip pat gali kreiptis su prašymu pagalbos į Programą įgyvendinančias institucijas.Jei Partneris toliau nevykdo savo įsipareigojimų, Paramos gavėjas, įgaliotas likusių Partnerių, gali nuspręsti pašalinti tokį Partnerį iš Projekto. Prieš pranešant BVI, dėl Partnerio pašalinimo iš Projekto turėtų pritarti likę Partneriai. Jei neįmanoma pasiekti tokios susitarimo, Paramos gavėjas tai turėtų nurodyti pateikdamas informaciją apie tokius pakeitimus BVI patvirtinti. Pašalintas Partneris privalo Paramos gavėjui grąžinti visas pagal Programą gautas lėšas, jei pašalinimo dieną jis negali įrodyti, kad lėšos buvo panaudotos Projektui įgyvendinti, remiantis išlaidų tinkamumo finansuoti taisyklėmis.Jei dėl Partnerio neįvykdytų įsipareigojimų susiduriama su finansinėmis pasekmėmis, kurios turi poveikį visam Projekto finansavimui, Paramos gavėjas gali reikalauti grąžinti nepagrįstai išmokėtas lėšas.Šalys susitaria iš Projekto be priežasties nepašalinti nė vienos Šalies, nebent tai būtų neišvengiama. Jei vis dėlto taip atsitinka, Šalys bando kompensuoti pašalinto Projekto Partnerio įnašą, perimdamos užduotis arba kviesdamos vieną ar daugiau naujų Partnerių prisijungti prie partnerystės.Paramos gavėjas negali pasitraukti iš Projekto. Jei Paramos gavėjas pasitraukia iš Projekto, Paramos sutartis nutraukiama.19 skirsnisPartnerystės sutarties nuostatų keitimasPartneriai turėtų pritarti pasiūlymams dėl esminių Projekto pakeitimų (pvz., veiklų, partnerių ir pan.) prieš pateikiant tokius pakeitimus BVI. Jei neįmanoma pasiekti tokio susitarimo, Paramos gavėjas tai turėtų nurodyti pateikdamas informaciją apie tokius pakeitimus Sutarčių institucijai patvirtinti. Šią Partnerystės sutartį galima keisti tik raštu. Pakeitimai patvirtinami antspaudu ir pasirašomi visų susijusių Šalių. Paramos gavėjas kaip įmanoma greičiau JTS pateikia pakeistą Sutartį, tačiau ne vėliau kaip per 15 darbo dienų nuo tos dienos, kai pakeitimai buvo patvirtinti antspaudu ir juos pasirašė susijusios Šalys.Projekto pakeitimai, kuriuos patvirtina BVI / JPK, įsigalioja kaip šios Partnerystės sutarties dalis, net ir nesilaikant šio formalaus reikalavimo.20 skirsnisTeisė nutraukti SutartįJei vienas iš Partnerių nusprendžia pasitraukti iš Projekto, Paramos gavėjas, kaip ir kiti Partneriai, deda visas pastangas, kad perimtų jo įsipareigojimus ir uždavinius arba surastų naują partnerį, kuris perimtų visus pasitraukusio Partnerio įsipareigojimus ir uždavinius. Jei surandamas naujas partneris, jis tampa šios Sutarties Šalimi tik pritarus JPK.Jei naujo partnerio nerandama, o likusieji Partneriai nenori arba negali perimti pasitraukusio Partnerio įsipareigojimų ir uždavinių, BVI sprendžia, ar reikia nutraukti Paramos sutartį.Jei Paramos sutartis nutraukiama, šios Partnerystės sutarties galiojimas nutrūksta savaime. 21 skirsnisPartnerių ginčaiJei tarp Projekto Partnerių kyla ginčas, kiekvienas Partneris privalo pabandyti jį išspręsti derybų būdu.Paramos gavėjas apie tai praneša kitiems Partneriams ir, savo iniciatyva arba Partneriui pareikalavus, gali prašyti BVI / NA / JTS patarimo.Jei derybų metu nepasiekiamas kompromisas, kiekvienas Partneris privalo prašyti bei sutikti, kad ginčas būtų nagrinėjamas arbitražo tvarka ad-hoc arbitražo komiteto – prieš tai per Paramos gavėją turi būti paprašoma BVI / NA / JTS patarimo. Ad-hoc arbitražo komitetą sudaro po 10 Projekte dalyvaujančių šalių narių, iš kurių bent vienas yra tos pačios pilietybės kaip ir ginče dalyvaujantis Partneris, paskirtas Projekto valdymo grupės. Jei Projekto valdymo grupė nepaskiria visų arbitrų per vieną mėnesį nuo Paramos gavėjo prašymo nuspręsti dėl tokio paskyrimo pateikimo dienos, Paramos gavėjas turi teisę skirti visus arbitrus. Pastaruoju atveju BVI / NA / JTS paskirtasis narys prižiūri bylos nagrinėjimą arbitražo teisme.Kiekvienas Partneris privalo vykdyti arbitražo komiteto priimtus sprendimus laikydamasis taikomų teisės aktų, dėl kurių susitarta šioje Sutartyje, ir Bendrijos teisės aktų nuostatų.22 skirsnisTaikytina teisėŠią Partnerystės sutartį reglamentuoja Lietuvos Respublikos teisė.Verčiant šią Partnerystės sutartį ir jo priedus, vadovaujamasi tekstu anglų kalba.23 skirsnisNuostatų negaliojimasJei kuri nors šios Sutarties nuostata yra visiškai arba iš dalies neveiksminga, šios Partnerystės sutarties Šalys imasi pakeisti neveiksmingą nuostata veiksminga, kuri kuo įmanoma labiau atitiktų neveiksmingos nuostatos tikslus.24 skirsnisBuveinėŠios Partnerystės sutarties vykdymo tikslais Šalys pasirenka buveinę, kurios adresas nurodomas Paraiškos formoje ir kurios adresu pristatomi visi oficialūs pranešimai bei tiesioginės sąskaitos, išrašytos už Projekto veiklas.Paramos gavėjui apie bet kokį buveinės adreso pasikeitimą registruotu laišku pranešama per 15 dienų nuo adreso pasikeitimo dienos.25 skirsnisBaigiamosios nuostatosŠi Partnerystės sutartis sudaryta 3 egzemplioriais: po vieną kiekvienai Partnerystės sutarties Šaliai ir JTS. Visi egzemplioriai turi vienodą juridinę galią.ES ir pasirinktos šalies nacionaliniai teisės aktai (kaip nurodyta šio susitarimo 22 punkto 1 dalyje) reglamentuoja šioje Partnerystės sutartyje nenustatytas nuostatas.Šios Partnerystės sutarties priedai:Patvirtinta Paraiškos forma (Projekto aprašymas ir Projekto biudžetas) ir priedai;Specialiosios sąlygos kiekvienam Partneriui (aprašomos veiklos, kuriose dalyvauja ir kurioms vadovauja Partneris; Final version (revised after EC comments) of the "Operational programme Lithuania-Poland-Russia Cross-border Co-operation Programme 2007-2013" adopted by the European Commission on 17 December 2008, amended on 7 March 2011;Practical Guide to Contract Procedures for EC External Actions, version 2008 (PRAG);The Guidelines for Grant Applicants for the 1st Call for Proposals;Grant Application Form with annexes;Grant Contract/ Contribution Agreement to be signed by the Beneficiary with the Joint Managing Authority of the Programme;Financing Agreement signed on November 19th 2009 between the European Commission and the Russian Federation.Hereinafter referred to as the “legal framework”the Parties agree: § 1DefinitionsEach time this Partnership Agreement refers to:Programme – this shall mean the Lithuania-Poland-Russia ENPI Cross-border Cooperation Programme 2007-2013;Joint Monitoring Committee (JMC) – this shall mean the main decision making body of the Programme;Joint Managing Authority (JMA) – this shall mean the Ministry of Regional Development of the Republic of Poland;Contracting Authority – this shall mean the JMA, which signs the Grant Contract with the Beneficiary of the Action;National Authority (-ies) (NA) – this shall mean the Ministry of the Interior of the Republic of Lithuania, the Ministry of Regional Development of the Republic of Poland and the Ministry of Foreign Affairs of Russian Federation;Joint Technical Secretariat (JTS) – the administrative and secretarial body based at the Center of European Projects in Warsaw (a budgetary unit of the Ministry of Regional Development of Poland);Grant Application Form – a document filled in when submitting a proposal for an action for co-financing from the Programme together with all annexes; Action – this shall mean the Action defined in the approved Grant Application Form, implemented within the Programme and referred to above of this Partnership Agreement;Partners – this shall mean the legal entities indicated in the approved Grant Application Form, who participate in the Action implementation;Beneficiary – this shall mean body which signs a Grant Contract with the JMA and which assumes full legal and financial responsibility for implementation of the action vis-à-vis that authority as referred to above of this Partnership Agreement. It receives the financial contribution from the JMA and ensures it is managed and, where appropriate, distributed in accordance with the agreements drawn up with its partners; it alone is responsible to the JMA and it is directly accountable to the authority for the operational and financial progress of activities. Until the Grant Contract is signed, anybody who submits a proposal is called ‘Applicant’;Grant Contract – this shall mean an agreement between the Beneficiary and the Joint Managing Authority, with specific terms and an undertaking to implement an Action in return for an EU grant.§ 2Subject of the Partnership AgreementSubject of this Partnership Agreement is the organisation of a cross-border partnership in order to implement the Action under the Programme, according to the established legal framework. By the present Partnership Agreement, the Parties shall define the rules of procedure for the work to be carried out and the relations that shall govern them within the cross-border partnership set up in order to complete the aforementioned Action.§ 3Duration of the AgreementThis Partnership Agreement shall take effect on the date on which it is signed by all Parties. It shall remain in force until the Beneficiary has discharged in full its obligations toward the JMA as written in the Grant Contract, however, not less than 7 years after the balance payment for the action. Other retention periods, as might be stated by national law, shall remain unaffected.§ 4Financing the ActionThe total eligible cost of the Action is estimated at 2.971.432,83 EURO .The JMA shall finance a maximum of 2.674.289,55 EURO, equivalent to maximum 90 % of the estimated total eligible cost of the Action.The Beneficiary undertakes to co-finance the implementation of the Action with 101.853,13 EURO.The Partner 1 undertakes to co-finance the implementation of the Action with 186.480,99 EURO.The Partner 2 undertakes to co-finance the implementation of the Action with 8.809,16 EURO.Should the overall budget of the Action be reduced, the co-financing of the European Union will be reduced proportionally, as the co-financing rate of the European Union cannot change since the approval of the Action.§ 5LiabilityEach partner, including the Beneficiary, shall be liable to the other partners and shall indemnify and hold harmless such other partners for and against any liabilities, damages and costs resulting from the non-compliance of its duties and obligations as set forth in this agreement and its annexes.No party shall be held liable for not complying with obligations ensuing from this agreement in case of force majeure. In such a case, the partner involved must announce this immediately in writing to the other partners.§ 6Rights and ObligationsEach partner has the right to receive information from the Beneficiary on the issues related to the management of the Action and the financial flows received from and transferred to the JMA.The Beneficiary has the right to receive information and documentation from the partners related to the activities and expenditures of the Action.The Beneficiary alone shall be accountable to the JMA for the implementation of the Action. The Beneficiary authorised by the Partners shall sign the Grant Contract with the JMA and shall manage the funds in accordance with the details of this Partnership Agreement, the Grant Contract and the legal framework. The Beneficiary assumes sole responsibility for the entire Action vis-à-vis the JMA. In particular, the Beneficiary shall fulfil the following obligations:to ensure timely commencement and implementation of the entire Action within the time schedule and in compliance with all obligations to the Contracting Authority; to ensure smooth operational transfer of the Programme grant money for all partners and timely financial transactions to all partners or suppliers as defined in the Action; to retain at all times for audit purposes all files, documents and data concerning the part of the Action for which it is responsible on customary data storage media in a safe and orderly manner for a minimum of seven years after the final balance payment by the JMA; other possibly longer statutory retention periods, as might be stated by national law, shall remain unaffected;to prepare and submit action updates, interim and final reports (consisting of narrative report and audited financial report), follow-up budget documentation, handle requests for payments and application for budget or contract clause alterations with the assistance of the partners;to appoint a project manager responsible for the whole implementation of the Action and a financial manager, responsible for the whole finances of the Action;to distribute copies of the Grant Contract, approved Grant Application Form and other official documents to all partners;to send to all partners copies of reports – action updates, narrative and financial – made to the JMA;to start and implement the Action in accordance with the Grant Application Form. The Beneficiary shall notify the JMA of any factors that may affect implementation of the Action;timely onward transfer the relevant parts of payments received from JMA to the partners;to manage and monitor appropriate spending of the grant awarded;to carry out the overall accounting of the Action in compliance with the Article 16.1 of the General Conditions to the Grant Contract, paying a special attention to the correctness of the public tender procedures taken for the needs of the Action implementation;to consult partners regularly and keep them fully informed of the progress of the Action.to communicate with the bodies implementing the Programme and notify other partners of any substantial communication with the bodies implementing the Programme;to react promptly to any request of the bodies implementing the Programme and partners.Every partner of the Action (including Beneficiary) shall accept the following duties and obligations:to appoint a local coordinator (s) for the parts of the Action for which it is responsible;to authorise the Beneficiary to sign the contract with the JMA and represent partners in all dealings with the JMA in the context of the implementation of the Action.timely carry out the activities for which it is responsible according to the approved Grant Application Form;to contribute to the implementation of the Action activities within the approved budget;to implement the approved Action in line with the principles of economy, efficiency and effectiveness and keep to the principles of sound financial management; to draw up and submit reports for its part of the Action part according to the legal framework;to support the Beneficiary in drawing up action updates, interim and final reports, producing and delivering to the Beneficiary all information necessary for payment requests to the Contracting Authority;to produce and provide documents, information and data that are required by the Beneficiary to coordinate and monitor the implementation of the Action and for reporting purposes on time; to fulfil all rules and obligations laid down in the grant contract and the partner statement each partner has signed for the application;to notify the Beneficiary of any event that could lead to any deviation of the Action;to produce all documents required for the audit, provide necessary information and, for audit purposes, give access to its business premises;to use separate accounting system for accounting funds and expenditures of the Action;to retain for audit purposes all accounting files, documents and data about its part of the Action on customary data storage media in a safe and orderly manner during all the implementation period of the Action and seven years after the final balance payment from the JMA. Other retention periods, as might be stated by national law, shall remain unaffected;to react promptly to any request by the Beneficiary and the Programme bodies;to comply with the national legislation and PRAG rules in terms of accountancy and public tender procedures;to comply with other EU and national legislation;to disclose any revenues which occur or may occur with relation to the implementation of the Action;to respect all rules and obligations laid down in the legal framework;to agree to take all necessary steps enabling the Beneficiary to comply with its responsibilities as set out in the Grant Contract.§ 7Organisational Structure of the PartnershipFor the successful management of the partnership a ‘Steering Group’ will be set up. The Steering Group will be responsible for monitoring the implementation of the Action and approval of strategic decisions. The Steering Group will be chaired by the representative of the Beneficiary. Its members shall include 5 persons of the Beneficiary, partners and any other organisation or individual deemed appropriate by the Beneficiary (3 persons from Administration of Jurbarkas District municipality and 2 persons from Administration of Neman Municipal District). The Steering Group shall meet 6 times per year during the implementation of the Project. The JMA/ NAs and JTS representatives can also attend the meetings, if relevant.§ 8Working and translation languagesThe working languages of the partnership shall be Russian and English. Any official document of the Action shall be made available in English. Language of correspondence with the JTS and the language of reports shall be English.§ 9Division of tasks between the PartnersThe Beneficiary is responsible for implementation of the following activities in accordance with the project’s schedule:Activity 1. Infrastructure Reconstruction Works.The planned activity can be divided in the following way:1.1. reconstruction works;1.2. acquisition of the equipment and inventory.Infrastructure reconstruction works of the sports stadium (~16.625 m2) of Jurbarkas District municipality.In the process of works it is expected to accomplish the following: to reconstruct the soccer and rugby fields, to equip the spectator tribune, to reconstruct the lighting, to properly equip the fields for trainings, to reconstruct the auxiliary building of the stadium by purchasing all the necessary equipment and furniture, to place the scoreboard, to reconstruct the parking lot, to acquire all the inventory necessary for the activity (soccer goal, rugby goal, player benches, equipment for drawing the lines, sound equipment, etc.), to install the security alarm, etc.Activity 2. Organisation of Conferences for Concerned Specialists.In the process of implementation of the activity, Project Beneficiary will organize a 3 conferences in own country for 60 specialists. The duration of each conference shall be two days. Organisational costs of the conference shall include: rent of the conference hall, lecturer’s services, rent of equipment, rent of equipment for simultaneous interpreting, coffee breaks, lunch for conference participants, clerical services, brochures, preparation of the visual teaching aid materials, accommodation costs, etc. The beneficiary shall be responsible for inviting the participants to the conferences. Activity 3. Organisation of Educational Events for Good Health for Children and Youth.Project Beneficiary shall organise two summer camps (the duration of each shall be 7 days). 120 children will participate in these camps (40 children from Lithuania, 40 from Russia and 40 from Poland). Project Beneficiary shall be responsible for the effective organisation of the camps taking place in their country. Organisation of the camps shall include: accommodation, catering (breakfast, lunch, dinner), rent of leisure and sports facilities, services of the event organizer (games, trips around Lithuania, etc.), preparation of the visual and teaching aid materials, as well as the preparation and printing costs of the books (140 copies) about physical activity and healthy lifestyle.Project Beneficiary shall organise 4 sports festivals in Lithuania. 120 children (40 children from Lithuania, 40 from Russia and 40 from Poland) will take part in these sports festivals. Project Beneficiary shall be responsible for the effective organisation of the sports festivals. Organisational costs of the sports festivals shall include the following: rent of the sports facilities, accommodation and catering services, printing and distribution of leaflets, etc.Activity 4. Preparation and Distribution of the Informational Publications and Articles.In the process of implementation of this activity Project Beneficiary will publish and distribute to the inhabitants (with the help of the municipality or public institutions) 1,000 books, each about the importance of physical activity and healthy lifestyle. Also, seeking comprehensive distribution of information, 5 articles on this issue will be published in the press.The Partner 1 is responsible for implementation of the following activities in accordance with the project’s schedule:Activity 1. Organisation of Conferences for Concerned Specialists.In the process of implementation of the activity, Project Partner 1 will organize a 3 conferences in own country for 60 specialists. The duration of each conference shall be two days. Also, seeking comprehensive distribution of information, 5 articles on this issue will be published in the press.§ 10Cooperation with third parties, delegation and outsourcingIn case of cooperation with third parties, including sub-contractors, the partners shall remain the sole responsible parties to the Beneficiary and the Programme bodies concerning compliance with their obligations as set in this Partnership Agreement. The Beneficiary shall be informed by the partners about the subject and party of any contract concluded with a third party, but not later than 14 working days after concluding such contract.No partner shall have the right to transfer its rights and obligations under this Partnership Agreement without the prior consent of the Beneficiary and the responsible Programme implementing bodies.Cooperation with third parties including subcontractors shall be undertaken in accordance with appropriate Community and national regulations and Annex IV of PRAG rules regarding public procurement procedures.§ 11Budgetary and financial management, accounting principlesThe Beneficiary is the sole responsible party to the JMA for the financial management of the Action. Financial share of particular partners in the costs of the Action as well as the maximum amount of co-financing from the Programme funds for particular partners are established in Budget of the Action in the approved Grant Application Form. Financial contributions (grants) shall be paid into the account of the Beneficiary. Within 10 working days from receiving payments from the JMA, the appropriate amount and proportionally according to the financial report approved by the JMA, the Beneficiary shall be responsible for distributing the funds received between the partners in accordance with certified expenditure incurred for activities effectively carried out. No deduction, retention or further specific charge shall be made.Beneficiary shall be responsible for an application for reallocation between budget headings/ budget lines and Action changes as defined in the Grant Contract. Parties must ensure the correctness of their accounting system and documents. Beneficiary may request further information, documentation and evidence from all the partners to that effect. § 12Modification of the work plan and budget reallocationAny request for changes of the Budget of the Action or other statements from the approved Grant Application Form or the Grant Contract presented by the Beneficiary to the JMA/JTS shall be authorised by the partners beforehand.§ 13Reporting and monitoring responsibilitiesThe Beneficiary must provide the JMA with all required information on the implementation of the Action. The Partner undertakes to provide the Beneficiary with all required information within 10 days of the request.The Partners must draw up 4 months narrative reports, interim report and a final report, corresponding to the part of Action implemented under their own responsibility.Drafted reports with relevant attachments, including evidence documents on implemented activities and expenditures, where relevant shall be submitted to the Beneficiary in accordance with the requirements stipulated for the Beneficiary in the Grant Contract. The partners are obliged to have their expenditures certified by auditors approved by the JMA.Every partner must provide the Beneficiary with the information needed to draw up the consolidated reports and other documents required by bodies implementing the Programme.For preparation of action updates, interim and final reports the following deadlines for provision of reporting documentation by partners to the Beneficiary is fixed: the Partners must provide the action updates and interim reports to the Beneficiary 14 days before the deadline of the provision of this documentation from the Beneficiary to the Programme bodies and final reports must be provided from the Partners to the Beneficiary 30 days before the deadline of the provision of this documentation from the Beneficiary to the Programme bodies.The Beneficiary shall send every partner the e-version of each consolidated report submitted to the Programme bodies and keep the partners informed of all relevant correspondence.In default of reports or in the event of non-fulfilment of the rules concerning eligibility of expenditure, the Beneficiary shall ask the partners to redraft the submitted report in 14 days. Beneficiary shall use the official methods of correspondence with other partners to receive the answer to its requests. In case of repeated non-fulfilment, the Beneficiary shall be entitled to deny the expenditure declared by the partner in 14 days. In that case, the Beneficiary is obliged to inform the partner concerned on the denial of the expenditure declared and the motivation thereto; also, the JMA/JTS shall be informed.§ 14Demand for repayment by the Joint Managing AuthorityShould the JMA in accordance with the provisions of the Grant Contract demand repayment of grant already transferred, every partner is obliged to transfer its part of the repayment amount to the Beneficiary. Beneficiary shall without delay submit the letter by which the JMA has asserted the repayment claim and notify every partner of the amount repayable. The repayment amount is due within 14 days following the notification by the Beneficiary. The amount repayable shall be subject to interest; the provisions of the Grant Contract shall apply by analogy for all partners.Where the recovery relates to a claim against a Beneficiary or partner established in an EU Member State and the JMA is unable to recover the debt within one year of issuing the recovery order, the EU Member State in which the Beneficiary or partner is established shall pay the amount owing to the JMA and claim it back from the Beneficiary or partner.Where the recovery relates to a claim against a Beneficiary or partner established in a partner country and the JMA is unable to recover the debt within one year of the issuing of the recovery order, the JMA shall refer the case to the European Commission, which, on the basis of a complete file, shall take over the task of recovering the amounts owing from the Beneficiary or partner established in the partner country or directly from the national authorities of that country.§ 15Information and publicity measuresAny notice or publication by the Action (including events) must specify that the Action is part-financed by the Programme in accordance with the Programme legal framework and in particular, the Commission Regulation (EC) No.951/2007, the Guidelines for Grant Applicants, chapter 2.5.18 and EC Manual for the Communication and Visibility Manual of April 2008. The partners shall prior agree and send information on the planned publicity activities, events and publication of materials to the Beneficiary. The partners shall publish the information on the Action on their websites, whenever possible.The partners agree that the JMA and the European Commission shall be authorised to publish, in whatever form and by whatever medium, the following information: name and address of Beneficiary and partners, nationality, the purpose of the grant, description of the Action, description of achievements, events, outputs and results, duration and location as well as the maximum amount of the grant and rate of funding of the eligible costs of the Action.§ 16Assignment, legal successionNeither the Beneficiary nor the partners are allowed to assign their duties and rights under this Partnership Agreement without the prior consent of the other parties to this Partnership Agreement. The parties to this Partnership Agreement are aware of the Grant Contract provisions whereupon the Beneficiary is allowed to assign its duties and rights only after prior written consent of the JMA and JMC.In the case of legal succession, the Beneficiary or the partners concerned is obliged to transfer all duties under this agreement to the legal successor. § 17Revenue generation and ownership of purchased equipment/ investments Ownership of, and title and intellectual and industrial property rights to, the action's results, reports and other documents relating to it shall be vested in the Beneficiary or partner(s), which have created or purchased the results, reports and other documents.The Beneficiary and Partners grant the JMA and the European Commission the right to use freely and as it sees fit all documents deriving from the action, whatever their form, provided it does not thereby breach existing industrial and intellectual property rights. Where the Beneficiary does not have their headquarters in the country where the action is implemented and unless otherwise specified in the Special Conditions to the Grant Contract, the equipment, vehicles and supplies paid for by the Budget for the action must be transferred to any local partners of the Beneficiary and/or the final recipients of the action, at the latest by the end of the implementation of the action. Copies of the proofs of transfers of equipments and vehicles, the purchase cost of which was more than EUR 5 000 per item, must be kept for control.The Beneficiary and partners shall ensure that the outputs and results of the Action shall be made available to the public freely in order to guarantee widespread publicity of the outcomes of the Action. Restrictions to the availability of Action outputs and results are allowed only with the consent of the Contracting Authority.The grant can under no circumstances result in a profit for itself and it must be limited to the amount required to balance income and expenditure for the Action. The profit is defined –in the General Conditions (Article 17.3). Should the auditor discover any revenue of the Beneficiary or partner(s) resulting from the Actions products or outcomes, the co-financing of the European Union shall be reduced accordingly.§ 18Obligations, delay, withdrawal from obligationsIn case of total or partial incompletion of the obligation by any of the partners, the Beneficiary shall admonish the respective partner to comply within a maximum of one month. Beneficiary shall make any effort to contact the partners in resolving the difficulties including seeking the assistance of the Programme bodies.Should the non-fulfilment of obligations continue, the Beneficiary, authorized by all remaining partners, may decide to exclude the partner concerned from the Action. The exclusion of the partner from the action should be agreed by the remaining partners before informing the JMA. Where such agreement cannot be reached, the Beneficiary must indicate this when submitting such changes for approval to the JMA. The excluded partner is obliged to refund to the Beneficiary any programme funds received which it cannot prove on the day of exclusion that they were used for the implementation of the Action according to the rules of eligibility of expenditure.In case of non-fulfilment of a partner's obligation having financial consequences for the funding of the Action as a whole, Beneficiary may demand recovery of funds unduly paid.Parties agree not to withdraw from the Action unless there are unavoidable reasons for it. If this were nonetheless to happen, Party shall try to cover the contribution of the withdrawing partner, either by assuming its tasks or by asking one or more new partnerThe Beneficiary cannot be withdrawn from the Action. In case of the withdrawal of the Beneficiary from the Action the Grant contract shall be terminated.§ 19Amendment of the Partnership AgreementProposals for substantial changes to the Action (e.g. activities, partners, etc.) should be agreed by the partners before submission of such changes to the JMA. Where such agreement cannot be reached, the Beneficiary must indicate this when submitting changes for approval to the Contracting Authority.This Partnership Agreement shall only be amended in writing. The amendments shall be stamped and signed by all Parties involved. Beneficiary shall present the amended agreement to the JTS as soon as possible, but not later than 15 working days after the amendment is stamped and signed by all the parties involved.Modifications to the Action that are approved by the JMA/JMC shall be effective as alterations of this Partnership Agreement, also without adherence to this formal requirement.§ 20Right of TerminationIf one of the partners decides to withdraw from the Action, the Beneficiary as well as all the remaining partners shall take all the efforts to take over the obligations as well as the tasks or to find the new partner who would take over all the obligations as well as tasks of the missing partner. If the new partner is found it shall become the party of this agreement only on the approval by JMC.If the new partner cannot be found and the remaining partners are not willing /able to take over the responsibilities as well as tasks of the missing partner, the JMA will take the decision whether to terminate/ amend or not the Grant Contract.In case of termination of the Grant Contract this Partnership Agreement is terminated automatically. § 21Disputes between partnersShould a dispute arise between partners of the Action, every partner shall be obliged to try to reach a settlement in a negotiations procedure.Beneficiary will inform the other partners and may, on its own initiative or upon request of a partner, ask the JMA/ NA /JTS for advice.Should a compromise through negotiations procedure not be possible, every partner shall be obliged to request and accept arbitration carried out by an ad-hoc arbitration committee after having asked the JMA/NA/JTS for advice through the Beneficiary. The ad-hoc arbitration committee will consist of 10 members of countries participating in the Action, at least one being of the same nationality as the partner involved in the dispute, appointed by the Steering Group. If the Steering Group has not appointed all the expert arbitrators within one month of the Beneficiary's request to it to decide on such appointment, the Beneficiary shall have the authority to appoint all arbitrators. In the latter case, a designated member of the JMA/NA/JTS will supervise the proceeding of the arbitration committee.Every partner shall be obliged to apply the decisions of the arbitration committee, subject to the applicable law hereby agreed upon and in compliance with the provisions of the Community law.§ 22Applicable lawThis Partnership Agreement is governed by the law of the Republic of Lithuania.In the event of translation of this Partnership Agreement and its annexes, the English version shall prevail.§ 23NullityIf any provision in this agreement should be wholly or partly ineffective, the Parties to this Partnership Agreement undertake to replace the ineffective provision by an effective provision which comes as close as possible to the purpose of the ineffective provision.§ 24DomicileTo the effect of this Partnership Agreement, the Parties shall irrevocably choose domicile at the address stated in the Application Form where any official notifications and direct invoices for the activities of the Action can be lawfully served.Any change of partner’s domicile shall be forwarded to the Beneficiary within 15 days following the change of address by registered mail.§ 25Final provisionsThis Partnership Agreement has been made in 3 copies: one for each Partnership Agreement party and one to be submitted to the JTS.
